TableCheck Content Submission Service Terms of Use
Enacted: August 15, 2025
Article 1 (Definitions)
For the purposes of these Terms of Use, the following terms shall have the meanings set forth below:
1. “Content” means photographs, images, videos, and other visual media submitted by a User to the Service.
2. “User” or “Customer” means any individual or legal entity that submits Content to the Service.
3. “TableCheck” means TableCheck Inc. and its affiliates.
4. “Service” means the services provided by TableCheck, including but not limited to the TableCheck Diners Platform, websites, mobile applications, and related services.
5. “Intellectual Property Rights, etc.” means copyrights, portrait rights, trademark rights, and other intellectual property rights, as well as license rights.
Article 2 (Application of these Terms)
1. These Terms apply to the submission of Content by Users to the Service and to TableCheck’s use of such Content.
2. By submitting Content to the Service, the User shall be deemed to have agreed to these Terms.
Article 3 (Intellectual Property Rights and License)
3.1 Ownership of Rights
The User shall retain all Intellectual Property Rights, etc. in the Content, or shall hold the necessary license rights thereto. Nothing in these Terms shall be construed as transferring the User’s rights to TableCheck.
3.2 License
Upon submitting Content to the Service, the User grants to TableCheck a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license (including the right to grant sublicenses to third parties designated by TableCheck) to exercise the rights under copyright law, including reproduction, adaptation, public transmission, distribution, translation, and transformation, for the purposes set forth below. This license shall survive termination of the User’s use of the Service.
The User shall not exercise any moral rights of authors or other rights based on Intellectual Property Rights, etc. in the Content against TableCheck or any third party designated by TableCheck.
Purposes of Use:
・To operate, provide, improve, and promote the Service
・To display and feature Content on the Service
・For TableCheck’s commercial use
・To create features, collections, or similar compilations including the Content
・For promotional activities related to TableCheck by TableCheck’s business partners (including restaurants)
Examples of Use (including but not limited to):
・Featuring a food image on a “Popular Menu Items” page
・Including Content in newsletters to other Users
・Using Content in social media advertising
・Including Content in cuisine-specific or theme-based collections
3.3 Use on Third-Party Platforms
The license granted under this Article includes use on third-party platforms (including social networking services, review sites, and partner websites) operated or engaged by TableCheck.
Article 4 (Representations and Warranties)
By submitting Content, the User represents and warrants that:
1. The User owns the Intellectual Property Rights, etc. in the Content, or, if the User holds only a license for use, has obtained written permission from the rights holder to grant TableCheck and its designees the right to use the Content. If the Content depicts any person, the User has obtained that person’s valid consent to the photographing and publication of the Content.
2. The Content does not infringe any third-party rights (including all Intellectual Property Rights, etc. and any other rights).
3. If the Content incorporates works owned by third parties and such use causes damage to TableCheck, the User shall resolve such matter at the User’s own responsibility and expense.
4. If any third party raises an objection, files a claim for injunction, damages, or any other claim regarding the Intellectual Property Rights, etc. in the Content, the User shall promptly resolve such matter at the User’s own responsibility and expense, and shall not cause any inconvenience or damage to TableCheck.
5. If the Content was photographed at a restaurant or other facility, the User has complied with all rules, policies, and other terms regarding photography at such facility.
6. The Content does not violate any applicable laws or regulations, public order or morality, or generally accepted social norms.
Article 5 (Prohibited Content)
5.1 The User shall not submit any Content that:
1. Infringes or may infringe the Intellectual Property Rights, etc. of TableCheck or any third party
2. Contains obscene, violent, discriminatory, threatening, or illegal material, or may promote such conduct
3. Includes a third party’s personal information without that person’s prior consent
4. Contains false or misleading representations regarding actual restaurants, dishes, services, or business operations
5. Relates to or may promote criminal activity
6. Defames, damages the reputation of, or harms the credibility or social evaluation of others
7. Is created or used for commercial or profit-making purposes (except as separately approved by TableCheck)
8. Is otherwise, in TableCheck’s reasonable judgment, inappropriate in light of the purpose, intent, or integrity of the Service
5.2 Unauthorized reproduction or use of Content posted by a User is prohibited, except by the User who originally posted the Content.
Article 6 (Management of Content)
TableCheck reserves, but is not obligated to exercise, the following rights:
1. To monitor, review, edit, modify, or delete Content
2. To delete or refuse to post Content that TableCheck reasonably determines violates or is likely to violate these Terms
3. To suspend accounts, restrict access, or take other measures that TableCheck deems necessary and appropriate against Users who breach obligations under these Terms
Article 7 (Rights of Individuals Depicted in Content)
7.1 Consent Requirement
For Content in which an individual is clearly identifiable, the User shall obtain that individual’s valid consent prior to photographing and use, and shall comply with applicable laws in the jurisdiction of the location where the photograph was taken or where the Content will be used.
For reference:
・Under Japanese law: portrait rights (recognized as part of personality rights under the Civil Code and case law), privacy rights (including protection under the Act on the Protection of Personal Information)
・Under Singapore law: protection under the Personal Data Protection Act 2012 (“PDPA”)
7.2 Removal Requests
If a person other than the User appears in the Content and requests its removal, TableCheck will review and respond appropriately in light of applicable laws and TableCheck’s policies.
Article 8 (Rights of Restaurants and Venues)
A restaurant or venue depicted in the Content may request removal if the depiction materially misrepresents its actual state or if the Content was taken in violation of its policies. TableCheck will review and determine such requests on a case-by-case basis.
Article 9 (Amendments to these Terms)
TableCheck may amend these Terms from time to time as necessary. By continuing to use the Service after such amendments, the User shall be deemed to have agreed to the amended Terms.
Article 10 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction in the first instance over any disputes arising out of or in connection with these Terms.
Article 11 (Liability)
If, by submitting Content to the Service, the User breaches these Terms or infringes the rights of any third party, thereby causing damage to TableCheck or its officers, employees, or others, the User shall indemnify and hold harmless such parties from and against any such damage (including reasonable attorneys’ fees).
Article 12 (Handling of Personal Information and Image Data)
12.1 Compliance with Laws
TableCheck shall handle personal information, including image data, in compliance with applicable laws, including Japan’s Act on the Protection of Personal Information and Singapore’s PDPA.
12.2 Data Subject Rights
Users have the right to request disclosure, correction, or deletion of their personal information. For procedures to exercise these rights, please refer to the TableCheck Privacy Policy.
